As LangXie said, you did raise some very good points!
As for the negatives,
1. Not sure how they are going to establish a good brand. I will follow up with the management team and find out what their plans are. What about marketing it as a "Foreign Language" school? I know it is a concept well received in large cities. I can also try to coordinate some culture exchange activities or even invite native English speaking teachers to teach at the school.
2. Although it is a county, the population is dense. I don't have the specific numbers with me at the moment but the market research I received certainly indicates a strong need for a new high school. I think that is part of the reason why local government supported this project -- many kids are not attending high school and part of the reason is over crowdness in the existing schools.
3. What is JV? What does US shell company do? I already have a company in US (LLC). Does that make any difference? I really have no interest and would like to avoid getting involved in the management and operation of the school (other than occational visits when on vacation) if at all possible. In fact, I have never been to that county. Does this make it a bad choice for me to invest?
4. The projection calls for positive cash flow from year one. I am not familiar with the project enough to judge if the projection is acurate or not. More homework, I guess!
