Reverse Mergers and SPACs Grow Steadily in the Third Quarter

The alternative public offering market saw healthy growth during the third quarter. There were more than 40 reverse mergers between public shells and private companies, with a resulting market cap value of more than $3 billion, according to data to be presented in the next issue of The Reverse Merger Report. Eleven of the reverse mergers during in the quarter involved Chinese private companies. SPACs raised about $688 million in five public offerings. There were 16 new IPO registrations filed by SPACs, potentially worth $1.53 billion. The class of new SPACs includes three focused on Chinese companies, and one targeting an Indian company for a merger. The third quarter saw more pacts between SPACs and private companies than any previous quarter with 12 definitive agreements and one letter of intent.

New SPACs Looking Overseas for Business Combinations

Two new specified purpose acquisition companies filed registration statements with the SEC last week, seeking to raise a combined $264 million to acquire foreign companies. Banked by EarlyBirdCapital, China Fortune Acquisition Corp. will raise $64 million to purchase a Chinese company. Bo Hu, the SPAC's CEO, will buy 250,000 $8 units at the time of the IPO, for a total investment of $2 million. Advanced Technology Acquisition Corp. aims to raise $200 million with CRT Capital Group and intends to combine with a with a technology business in Israel. Some initial stockholders will also purchase $2 million worth of $1 warrants. Both SPACs plan to list on the Bulletin Board.

Medical Device Maker Alsius Corp. Withdraws IPO Plans After Announcing Merger with Ithaka Acquisition Corp.

Alsius Corp., an Irvine, Calif.-based developer of devices that control patient temperatures in hospitals, plans to become public in a merger with specified purpose acquisition company Ithaka Acquisition Corp. (ITHK.OB). Alsius CEO William Worthen will continue in the same post, and Ithaka principals Paul Brooke, a venture partner at MPM Capital, and Eric Hecht, the former CEO of Potomac Pharma, will remain on the combined company's seven-member board. Alsius had been in registration for a $40.3 million IPO, and was the second company recently to drop its traditional public offering plans in favor of a merger with a SPAC. On Sept. 27, Jazz Semiconductor withdrew its registration for a $105 million public offering, and instead agreed to be acquired by Acquicor Technology in a $260 million all-cash deal.
