if they already have a product line existing in the market, what they need from you is your international image. apprently they have a market access but their product is not good. their brand is established but they cannot do much about their products.
by offering OEM to them, you would have to have some gain: a blind but quantified market access: you won't know where the customers are at, but you will have some sales through this guy.
if you have no idea about the market at all, i would let them OEM. trust me, in a market like china, people will find out shortly where the OEM source is at, and you will just have to wait for more guys coming to knock at your door for more OEM
you will then start your market entry with OEM
in time, you can start marketing your own brand, once your products are exposed and accepted. all clients need to see is the the spec: your spec is also the spec from those guys, which by now your future customers already are very familiarized with. well then, they promoted market at their costs
in short, i say go for it, but you need to be careful with your contract terms: don''t sell short and make it the buck on the bun
